The Importance of Delivery Terms in International Trade | Essential Knowledge for Foreign Trade
In international trade, delivery terms are one of the core elements of a contract, directly related to the protection of rights and risk allocation between trading parties. As the primary responsibility of exporters and the most concerned matter for importers, the content of delivery terms requires special attention.
Delivery Time
The agreement on delivery time is legally binding for both parties:
- Immediate Delivery: Vague terms like "Shipment as Soon as Possible" may cause disputes and should be avoided
- Scheduled Delivery: Includes three clear methods: shipment within a month, shipment before a certain date, and cross-month shipment
Delivery Location
The delivery location must be clearly specified and is usually related to price terms. If the exporter fails to deliver the goods to the designated location, it is considered a failure to fulfill the delivery obligation.
Delivery Methods
There are two main delivery methods in international trade:
(Physical delivery)
(Delivery of documents of title),通常是提单
Most trades use document delivery method, which facilitates resale by importers and accelerates goods circulation
Delivery Notice
Exporters are responsible for notifying importers in advance about delivery matters, especially when the delivery date is not specific. This helps importers prepare for receipt.
Additional Delivery Conditions
Partial Shipment
For large quantities, the contract must specify whether partial shipment is allowed. Exporters usually prefer partial shipment, while importers tend to choose whole shipment to reduce costs and risks.
Transhipment
As transhipment increases costs and risks, importers usually require "Transhipment Prohibited" in the contract when direct routes are available.
Port of Loading and Destination
The contract may specify optional ports, but it must be clear that additional fees are borne by the importer and the selected ports should be on the same route.
Understanding and properly formulating delivery terms is key to ensuring smooth international trade. It is recommended that foreign trade enterprises consult professional legal and trade advisors before signing contracts.
